1. Agreement

These Terms of Use (“Terms”) govern your access to and use of landangels.club and its subpages, forms, and related communications (the “Site”), operated by LX Systems LLC (“LX Systems,” “we,” “us,” “our”). LandANGELS is a brand managed by LX Systems LLC, and LX Systems LLC is the contracting party for the Site. By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility; U.S. only

You must be at least 18 years old and located in the United States to use the Site. The Site is not intended for anyone outside the United States or for anyone in a jurisdiction where its content would be unlawful.

3. Informational only — no offer, no solicitation, no advice

3.1 No offer or solicitation. The Site is provided for informational purposes only. Nothing on the Site is, or should be read as, an offer to sell, a solicitation of an offer to buy, or a recommendation of any security, investment, fund, or interest in any project or entity, in any jurisdiction. Any offer of securities, if made at all, will be made only by the issuer through its own offering documents, to persons the issuer determines are eligible, and in compliance with applicable law. LX Systems is not the issuer.

3.2 No investment, legal, or tax advice. LX Systems LLC and LandANGELS are not a registered broker-dealer, investment adviser, or funding portal. Nothing on the Site is investment, financial, legal, tax, or accounting advice, and no fiduciary or advisory relationship is created by your use of the Site. Consult your own advisers.

3.3 No performance claims. The Site does not present, and you should not rely on any statement as, a projection, forecast, estimated return, internal rate of return, yield, or guarantee of results. Past or hypothetical results are not indicative of future results. Any investment involving land or real estate carries risk, including total loss.

3.4 Accredited-investor status. We do not solicit investors through the Site. Where verification of accredited-investor status is legally required or otherwise applicable, it is done privately and only if and when applicable, outside the Site, through a separate process. Submitting a form on the Site does not make you a member, does not give you access to any investment, and does not verify any status.

3.5 No testimonials or endorsements. The Site does not use client or member testimonials or endorsements.

3.6 Third-party and project information. Information about any project, developer, or third party comes from that party or public sources. We have not independently verified it and make no representation about its accuracy or completeness.

4. Forms and submissions

4.1 You may submit information through Site forms, such as contact, interest, or project-submission forms. You represent that what you submit is accurate, that you have the right to submit it, and that it does not violate any law or third-party right. Do not submit financial statements, tax returns, account numbers, Social Security numbers, or accreditation documents through the Site.

4.2 Submitting a form does not create any obligation on our part to respond, review, introduce, list, present, or fund anything, and it does not guarantee access, allocation, presentation, or funding.

4.3 License to submissions. You grant us a non-exclusive, royalty-free license to use, copy, and process your submission to evaluate it, respond to you, and operate the Site, consistent with our Privacy Policy. We do not claim ownership of your submissions. Do not submit anything you consider confidential unless we have agreed in a separate signed writing to keep it confidential.

5. Communications; SMS

If you give us your phone number and separately check the SMS consent box, our SMS Terms apply. SMS consent is not required to use the Site and is not a condition of any purchase.

6. Acceptable use

You agree not to: (a) use the Site unlawfully or to violate anyone’s rights; (b) submit false or misleading information or impersonate anyone; (c) upload malware or interfere with the Site’s security or operation; (d) scrape, crawl, or harvest data except through standard search-engine indexing; (e) reverse engineer any part of the Site; or (f) use the Site to send unsolicited communications.

7. Intellectual property

The Site and its content, including text, graphics, logos, and software, are owned by us, our affiliates, or our licensors and are protected by intellectual-property laws. LANDFAX® is a registered trademark of its owner. LandANGELS, LANDXOS, and other names and logos on the Site are trademarks or trade names of their respective owners. No registration is claimed except where the ® symbol appears. We grant you a limited, revocable, non-transferable license to view the Site for personal, non-commercial informational use. All other rights are reserved.

8. Third-party services and links

The Site may use or link to third-party services, such as HighLevel/LeadConnector forms, scheduling tools, and external websites. We are not responsible for third-party content, terms, or practices.

9. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, INVESTMENT, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnity

You will indemnify and hold harmless us and our affiliates from claims, losses, and expenses, including reasonable attorneys’ fees, arising from your submissions, your misuse of the Site, or your violation of these Terms or the law.

12. Governing law; venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. The state and federal courts located in or serving Fairfax County, Virginia have exclusive jurisdiction and venue, and you consent to personal jurisdiction there.

13. Changes; termination

We may modify these Terms at any time by posting an updated version with a new “Last Updated” date. Continued use after posting means you accept the changes. We may suspend or discontinue the Site, or your access to it, at any time.

14. General

These Terms, the Privacy Policy, and the SMS Terms are the entire agreement about the Site. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms. We may assign them to an affiliate or successor.
